Opsole Migrate — End-User License Agreement (EULA)

1. Acceptance of the Agreement

This End-User License Agreement ("EULA") is a legal agreement between you ("Customer", "You") and Opsole Ltd ("Opsole") governing your use of the Opsole Migrate software, agents, installers, executables, scripts, and related components (collectively, the "Software").

By downloading, installing, executing, or using the Software, you confirm that you have read, understood, and agreed to this EULA.

If you do not agree, you must not download, install, or use the Software.

2. License Grant

Subject to compliance with this EULA and payment of applicable fees, Opsole grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for your internal business purposes and only on devices covered by a valid Opsole Migrate subscription.

No ownership rights are transferred to you under this EULA.

3. License Scope and Restrictions

You may use the Software only:

  • For device migration scenarios supported by Opsole Migrate
  • On devices you own or are authorized to manage
  • In accordance with Opsole documentation and instructions

You must not:

  • Copy, modify, adapt, or create derivative works of the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Bypass licensing, activation, or technical safeguards
  • Use the Software for unlawful, unauthorized, or abusive purposes
  • Distribute, resell, sublicense, or make the Software available to third parties

4. Software Operation and Limitations

The Software performs system-level configuration operations to support Windows device identity transition and profile continuity.

The Software does not copy, inspect, scan, or migrate user file contents.

You acknowledge that successful operation depends on system health, security configuration, network conditions, and third-party software behavior. Opsole does not guarantee successful execution in all environments.

5. Updates and Changes

Opsole may provide updates, patches, or new versions of the Software to improve security, stability, or functionality.

Unless otherwise stated, updates are governed by this EULA.

6. Data Handling

The Software may transmit limited device and identity metadata, and (where enabled) recovery assurance data such as BitLocker recovery keys and LAPS passwords, in accordance with the Opsole Privacy & Cookies Policy.

The Software does not access or transmit user file contents.

7. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Opsole shall not be liable for indirect, incidental, consequential, or special damages
  • Opsole shall not be liable for data loss, profile inaccessibility, OS corruption, or third-party security software interference
  • Opsole's total liability under this EULA shall not exceed the fees paid for the Software during the preceding twelve (12) months.

9. Termination

This EULA terminates automatically if you violate its terms.

Upon termination, you must immediately stop using the Software and uninstall or disable all copies under your control.

10. Intellectual Property

The Software and all related intellectual property rights are and remain the exclusive property of Opsole Ltd.

All rights not expressly granted are reserved by Opsole.

11. Compliance with Laws

You agree to use the Software in compliance with all applicable laws, regulations, and export controls.

12. Relationship to Other Agreements

This EULA governs the licensing and use of the Software.

Use of the Opsole Migrate service is also subject to:

In case of conflict, the Terms of Service shall prevail for service-related matters.

13. Governing Law and Jurisdiction

This EULA is governed by the laws of England and Wales, and the courts of London shall have exclusive jurisdiction.

14. Entire Agreement

This EULA constitutes the entire agreement regarding use of the Software and supersedes prior agreements related to licensing of the Software.

15. Acceptance

By downloading, installing, or using the Software, you confirm your acceptance of this EULA.
